Acceptable Use Policy

This Acceptable Use Policy (“AUP”) governs the Customers' and Authorised Users' access to and use of the Services. If a Customer or any Authorised User violates this AUP, Futurae may suspend or terminate access to the Services. This AUP is designed to protect the Futurae Platform and Services, Futurae Customers, and third parties from improper, illegal, harmful or abusive activity.

Capitalised terms used throughout but not defined in this AUP have the meaning set forth in the General Terms of Use and/or EULA. Futurae may update this AUP from time to time upon reasonable notice, including via email or by posting an updated version on our website.

You must:

• comply with the General Terms of Use and/or EULA, including the terms of this AUP;

• comply with all applicable laws and regulations, including, but not limited to, all intellectual property, data protection, cybersecurity and export control laws;

• ensure that any data, content, or other material submitted to the Services (including to any AI-powered features) is provided lawfully and that you have all necessary rights and lawful basis to do so;

• upload and disseminate only Customer Data to which you hold all required rights and permissions;

• use commercially reasonable efforts to prevent unauthorised access to or use of the Services;

• keep all credentials confidential and secure;

• monitor and control all activity conducted through your account in connection with the Services;

• promptly notify us if you become aware of or reasonably suspect any illegal or unauthorised activity or misuse of the Services or a security breach involving the Services; and

• comply with all applicable third-party terms where you integrate or connect third-party services with the Services.

You must not:

• permit any third party that is not an Authorised User to access or use the Services;

• share credentials or transfer or otherwise provide access to an account designated for you to another person;

• access, search or create accounts for the Services by any means other than our publicly supported interfaces (e.g., ‘scraping’ or creating accounts in bulk);

• use the Services to store, transmit or distribute any content that may infringe upon or misappropriate someone else’s trademark, copyright or other intellectual property, or that may be tortious or unlawful or harmful;

• upload to or transmit any data, file, software or link that contains or redirects to a virus, Trojan horse, worm or other harmful component, or a technology that unlawfully accesses or downloads content or information stored within the Services or on the hardware, network or infrastructure of Futurae or any third party;

• send altered, deceptive or false source-identifying information, including ‘spoofing’ or ‘phishing’;

• use the Services to incite or promote hatred or harm against individuals or groups of people;

• submit sensitive, special category or highly confidential information to the Services unless expressly permitted by Futurae;

• submit personal data unless you are authorised to do so and have complied with all applicable data protection obligations;

• attempt to reverse engineer, decompile, hack, disable, interfere with, disassemble, modify, copy, translate or disrupt the features, functionality, integrity or performance of the Services (including any mechanism used to restrict or control the functionality of the Services), any third-party use of the Services or any third-party data contained therein (except to the extent such restrictions are prohibited by applicable law);

• conduct or attempt to conduct any security testing, vulnerability scanning, penetration testing, load testing or similar activity against the Services without Futurae’s prior written authorisation;

• attempt to gain unauthorised access to the Services or related systems or networks or to defeat, avoid, bypass, remove, deactivate or otherwise circumvent any software protection or monitoring mechanisms of the Services;

• access the Services in order to build a similar or competitive product or service or copy any ideas, features, functions or graphics pertaining to the Services;

• interfere with, disrupt or excessively burden the Services or bypass technical or contractual usage limitations;

• use the Services in any manner that may harm and exploit minors, including by unlawfully processing children’s personal data;

• impersonate any person or entity, including, but not limited to, an employee of ours, elevated or privileged user or any other Authorised User, or falsely state or otherwise misrepresent your affiliation with a person, organisation or entity;

• use the Services to provide material support or resources (or to conceal or disguise the nature, location, source or ownership of material support or resources) to any organisation(s) designated as a foreign terrorist organisation pursuant to laws and regulations concerning national security, defence or terrorism;

• send unsolicited communications, promotions or advertisements, or spam;

• place any advertisements within a Futurae Service;

• abuse referrals or promotions to get more credits than deserved;

• sublicense, resell, time share or similarly exploit the Services, unless expressly permitted by Futurae;

• use AI features to carry out unlawful profiling, discrimination, or automated decision-making in breach of applicable law;

• use the Services other than for legitimate business or professional purposes, except where Futurae expressly makes a Service available for individual or consumer use;

• use contact or other user information obtained from the Services (including email addresses) to contact Authorised Users outside of the Services without their express permission or authority, or to create or distribute mailing lists or other collections of contact or user profile information for Authorised Users for use outside of the Services; or

• authorise, permit, enable, induce or encourage any third party to do any of the above.

Monitoring and Enforcement

Futurae may investigate suspected violations of this AUP or misuse of the Services and may suspend or disable access to the Services, remove content that violates this AUP or any other agreement we have with you.

Futurae may report any activity that we suspect violates any law or regulation to appropriate law enforcement officials or regulators. Where required or appropriate, Futurae may cooperate with regulators or law enforcement authorities, including by disclosing relevant information.
